Terms and Conditions of Use

1. Acceptance of Terms

By downloading, installing, accessing, or using the Ventur mobile application (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a binding legal agreement between you ("User," "you," or "your") and Ventur, Inc., a Delaware corporation ("Ventur," "we," "us," or "our").

We reserve the right to update these Terms at any time. We will notify you of material changes through the App or by email. Your continued use of the App following notice of changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years of age to use the App. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the App and that they have read and agreed to these Terms on your behalf.

By using the App, you represent and warrant that:

• You are at least 13 years of age;
• You have the legal capacity to enter into a binding agreement;
• You are not barred from using the App under the laws of the United States or any other applicable jurisdiction;
• All registration information you submit is accurate and truthful.

If we reasonably believe that any of the foregoing representations are false, we reserve the right to suspend or terminate your account and your access to the App immediately, subject to applicable law.

Certain venues listed in the App may impose their own age restrictions, including venues that serve alcohol. Listing a venue in the App is not an invitation to enter it, and access to any venue remains governed by that venue's rules and by applicable law.

3. Account Registration

3.1 Account Creation

To access certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration, and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@ventur.city of any unauthorized use of your account.

3.3 One Account Per User

You may only maintain one active account. Creating multiple accounts to circumvent the RAX economy, Exploration Windows, or any other feature is prohibited and may result in immediate account termination and forfeiture of all RAX balances.

4. The RAX Rewards Economy

4.1 What RAX Is

RAX is Ventur's in-app exploration currency. RAX has no monetary value, cannot be exchanged for cash, and is not legal tender. RAX is a limited license to access certain in-app rewards offered by participating Ventur merchants.

4.2 Earning RAX

RAX is earned by completing verified physical visits to participating merchant locations. Earning is subject to:

• The Exploration Window: each merchant location operates on a 7-business-day window. RAX is only awarded once per window per user per merchant. Visits during a cooldown period are recorded but do not earn RAX.
• GPS and QR Verification: RAX is only awarded when both GPS proximity (within approximately 150 meters of the venue) and a valid QR scan are confirmed. Verification requirements may evolve as the platform develops.
• Participating merchants only: the App also lists venues that are not participating Ventur merchants. Visits to those venues may be verified by GPS alone and recorded as stamps in your exploration history, but they do not earn RAX and have no rewards available for redemption.
• Multipliers: bonus RAX may be awarded for first-time visits to new venue categories or new neighborhoods, subject to merchant reserve availability. Multipliers are not guaranteed.

4.3 Redeeming RAX

RAX may be redeemed for rewards configured by participating merchants. Redemption is subject to:

• Sufficient RAX balance at time of redemption.
• Reward availability, as determined solely by the offering merchant.
• Redemption codes are single-use and expire as specified at time of generation. Expired codes cannot be reinstated.
• Some rewards may require a return visit to the merchant for fulfillment ("return-visit redemptions"). Ventur is not responsible for merchant fulfillment of such rewards.

4.4 RAX Has No Monetary Value

RAX cannot be sold, transferred, gifted, or converted to cash or any other currency or store of value. Any attempt to trade, sell, or transfer RAX outside of the Ventur platform is void and may result in account termination.

4.5 RAX Expiration

RAX earned through the platform may expire after a period of account inactivity of 12 months or more. We reserve the right to modify expiration policy with 60 days' notice to active users.

4.6 RAX Policy Changes

Ventur reserves the right to modify the RAX earn rate, multiplier structure, expiration schedule, and redemption mechanics. Material changes will be communicated with no less than 60 days' advance notice to active users.

5. Verified Presence and Location Data

The core functionality of the App requires access to your device's GPS location. By using the App, you grant Ventur permission to access your precise location when the App is in use for the purpose of verifying physical presence at venues.

Location data collected during stamp verification is stored as part of your exploration history and contributes to the Ventur Exploration Graph — our cross-merchant visit dataset. This data is used to:

• Verify your physical presence at a venue;
• Calculate RAX awards and multipliers;
• Power merchant analytics and neighborhood-level insights;
• Improve App recommendations and features.

We do not sell your raw individual location data to third parties. Aggregated and anonymized location data may be shared with merchants or third-party partners for analytics purposes. Please refer to our Privacy Policy for complete details on data collection, use, retention, and your rights.

6. User Conduct

You agree not to:

• Attempt to earn RAX through fraudulent means, including GPS spoofing, QR code manipulation, device emulation, or automated scripting;
• Create multiple accounts for the purpose of earning additional RAX, rewards, or welcome bonuses;
• Use the App in any manner that could interfere with, disrupt, or negatively affect other users or the integrity of the platform;
• Reverse engineer, decompile, or attempt to extract source code from the App;
• Use the App for any unlawful purpose or in violation of any applicable law or regulation;
• Impersonate any person or entity, or falsely represent your affiliation with a person or entity;
• Post, send, or share objectionable content, or harass, threaten, or abuse other users (see Section 7.1);
• Harvest, scrape, or collect data from the App without our express written consent.

Violation of these conduct rules may result in immediate account suspension or termination, forfeiture of RAX balance, and potential legal action.

7. User-Generated Content

The App may allow you to submit ratings, photos, written notes, and other content ("User Content"). By submitting User Content, you grant Ventur a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, modify, and distribute your User Content in connection with operating and improving the App.

You represent and warrant that:

• You own or have the right to submit your User Content;
• Your User Content does not infringe any third-party intellectual property, privacy, or other rights;
• Your User Content does not contain defamatory, obscene, harassing, or otherwise unlawful material.

We reserve the right to remove any User Content at our sole discretion without notice.

7.1 No Tolerance for Objectionable Content or Abusive Users

Ventur has no tolerance for objectionable content or abusive users. This applies to everything you post, send, or share in the App, including guestbook notes, neighborhood chat messages, direct messages, photos, and your profile, and to how you treat other users. You agree not to post, send, or share content, or to behave toward other users, in a way that is:

• hateful, discriminatory, or demeaning toward a person or group because of who they are;
• harassing, bullying, threatening, or abusive;
• sexually explicit or obscene;
• violent, or that encourages violence or self-harm;
• spam, scams, or otherwise deceptive; or
• unlawful, or that infringes someone else's rights.

7.2 Reporting and Blocking

You can report any guestbook note, message, post, or user from within the App: tap the ••• menu on a guestbook note or on a user's profile, or press and hold a chat message, direct message, or feed post. You can also block any user from the same menu. Blocking stops that person from messaging you, and you will no longer see each other's content. You can review and undo your blocks in Settings → Security Settings → Blocked Accounts. You can also contact us at venturedragons@ventur.life.

7.3 What We Do About It

We review every report within 24 hours and act on it. We may remove content and may suspend or permanently terminate the account of anyone who violates this Section 7, with or without prior warning. Some messages are also checked automatically and may be blocked before they are sent.

8. Merchant Rewards — Disclaimer

Rewards offered through the App are provided by independent participating merchants. Ventur does not guarantee the availability, quality, or fulfillment of any merchant reward. Ventur is not responsible for:

• A merchant's failure to honor a valid redemption code;
• Changes to reward offerings made by a merchant;
• The closure, discontinuation, or change of any participating merchant;
• Any dispute between you and a merchant regarding a reward or your experience at the merchant's location.

If you have a dispute regarding a reward redemption, please contact us at support@ventur.city and we will make reasonable efforts to assist in resolution, though we cannot guarantee any particular outcome.

9. Intellectual Property

All content, design, graphics, software, and other materials in the App — including the Ventur name, brand, Exploration Passport, RAX currency name, and Exploration Graph — are the intellectual property of Ventur, Inc. or its licensors, protected under applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms. No other rights are granted.

10. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you agree to our collection and use of data as described in the Privacy Policy. The Privacy Policy is available at ventur.city/privacy.

11. Disclaimers of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VENTUR DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS;
• THAT ANY DEFECTS IN THE APP WILL BE CORRECTED;
• THAT THE APP OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VENTUR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

• YOUR USE OF OR INABILITY TO USE THE APP;
• ANY MERCHANT'S FAILURE TO HONOR A REWARD;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT DATA;
• LOSS OF RAX BALANCE DUE TO ACCOUNT TERMINATION FOR CAUSE;
• ANY OTHER MATTER RELATING TO THE APP.

IN NO EVENT SHALL VENTUR'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VENTUR IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

13. Indemnification

You agree to defend, indemnify, and hold harmless Ventur and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the App;
• Your violation of these Terms;
• Your violation of any third-party right, including intellectual property or privacy rights;
• Any fraudulent activity or attempted manipulation of the RAX economy.

14. Termination

14.1 Termination by You

You may delete your account at any time from within the App: Settings → Security Settings → Delete Account. Your profile stops being visible immediately. For 30 days you may cancel the deletion by signing back in, which restores your account along with your RAX balance and visit history; after 30 days the deletion is final and your RAX balance, visit history and collection cannot be recovered. Step-by-step instructions, and what is deleted or kept, are at ventur.city/delete-account. If you cannot sign in to delete the account yourself, contact venturedragons@ventur.life.

14.2 Termination by Ventur

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice, including but not limited to if we determine that you have violated these Terms, engaged in fraudulent activity, or posed a risk to the platform or other users.

14.3 Effect of Termination

Upon termination, your right to use the App immediately ceases. All RAX balances, stamps, and rewards history associated with a terminated account are forfeited. Provisions that by their nature should survive termination shall survive, including Sections 4.4, 9, 11, 12, 13, and 16.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the App shall be resolved exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction of such courts.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ventur regarding the App and supersede all prior agreements or understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

16.5 Notices

We may send you notices regarding the App by email, push notification, or through in-app messaging. All notices to Ventur under these Terms must be sent in writing by email to legal@ventur.city.
